These Terms and Conditions govern your access to and use of Synthro Search, including our website, platform, software, data, search tools, company profiles, AI-generated or AI-enriched insights, reports, exports, APIs and related services. By creating an account, accessing the platform, starting a free trial, purchasing a subscription, buying credits, using any data made available through Synthro Search, or otherwise using our services, you agree to these Terms. If you do not agree to these Terms, you must not use Synthro Search.
1. About Synthro Search
Synthro Search is a business intelligence and company discovery platform designed to help users identify, research and assess companies, sectors, markets, contacts and opportunities. The platform may include company profiles, public company information, website-derived information, contact information, third-party sourced information, AI-enriched summaries, categorisation, search results, scoring, analysis, notes, exports and other business research tools. Synthro Search is primarily intended for business users, including but not limited to M&A boutiques, private equity firms, corporate finance advisers, consultants, investors, business development teams and other professional users.
2. Who These Terms Apply To
These Terms apply to:
- visitors to our website;
- users who create an account;
- customers who purchase a subscription;
- customers who purchase add-on credits;
- users invited by an organisation or account owner;
- anyone accessing the platform on behalf of a business, firm or organisation. If you use Synthro Search on behalf of a company or organisation, you confirm that you have authority to accept these Terms on behalf of that organisation. In these Terms, “you” and “your” refer to both the individual user and, where applicable, the organisation on whose behalf the platform is used.
3. Definitions
In these Terms:
- “Synthro Search”, “we”, “us” or “our” means TECH FOX LTD, trading as Synthro Search.
- “Platform” means the Synthro Search website, software, database, dashboard, APIs, search tools, company profiles, AI tools, exports, reports and related services.
- “Customer” means the business, organisation or individual that creates an account, purchases a subscription, purchases credits or otherwise uses the platform.
- “User” means any person who accesses or uses the platform.
- “Company Data” means information about companies, organisations, sectors, industries, markets, ownership, employees, directors, officers, activities, websites, filings, locations, descriptions, classifications, contact details and related business information.
- “Contact Data” means business contact information that may include names, job titles, work email addresses, business telephone numbers, company affiliations and similar professional information.
- “AI-Enriched Content” means summaries, classifications, recommendations, analysis, scoring, descriptions, tags or other content generated or enhanced by artificial intelligence or automated processing.
- “Credits” means usage units that may be used to perform searches, unlock company profiles, run AI analysis, access contact information, export data or use other platform features.
- “Subscription” means a paid monthly plan giving access to the platform and a monthly allocation of credits or usage rights.
- “Top-Up Credits” means additional credits purchased separately from a monthly subscription.
4. Eligibility
Synthro Search is intended for business and professional use. You must not use the platform if:
- you are not legally able to enter into a binding agreement;
- you are using the platform for unlawful, harmful or fraudulent purposes;
- you have previously been suspended or banned from using Synthro Search;
- you are accessing the platform in breach of any applicable law, regulation, contract or third-party right. We may refuse access, suspend accounts or terminate access where we reasonably believe these Terms have been breached.
5. Account Registration
To use certain features of Synthro Search, you may need to create an account. You agree to provide accurate, complete and up-to-date account information. You are responsible for:
- keeping your login details secure;
- ensuring only authorised users access your account;
- all activity carried out under your account;
- notifying us promptly if you suspect unauthorised access. You must not share login credentials with unauthorised users or allow multiple users to access the platform through a single seat, account or login unless your plan expressly permits this.
6. Business Use Only
Synthro Search is provided for business research, company discovery, market intelligence, investment research, M&A research, sales research and similar professional purposes. You must not use Synthro Search for personal, household, consumer, unlawful, discriminatory, harmful, exploitative or unethical purposes. You must not use the platform to make decisions that have a legal or similarly significant effect on individuals without carrying out your own independent checks and complying with all applicable laws.
7. User Responsibilities
You are responsible for how you use the platform and any information obtained from it. You agree that you will:
- use the platform lawfully and responsibly;
- verify important information before relying on it;
- ensure that your use of Company Data, Contact Data, exports and AI-Enriched Content complies with applicable laws;
- maintain your own records where required;
- ensure your users, employees, contractors and representatives comply with these Terms;
- obtain any consents, permissions or lawful bases required for your own use of data;
- comply with all applicable data protection, privacy, marketing, anti-spam, electronic communications, financial services, investment, anti-bribery, sanctions and export control laws where relevant. You are solely responsible for any outreach, marketing, communications, investment activity, deal origination, research, profiling, decision-making or commercial activity you carry out using information obtained from Synthro Search.
8. Acceptable Use
You may use Synthro Search for legitimate business purposes, including:
- identifying companies;
- researching target markets;
- reviewing company profiles;
- finding relevant business contacts where available;
- generating business intelligence;
- conducting M&A, private equity, investment, consulting or business development research;
- exporting permitted data within your plan limits;
- using AI-generated or AI-enriched insights as a research aid;
- managing your own business development or deal origination workflow. Your right to use the platform is limited, non-exclusive, non-transferable, revocable and subject to your subscription plan and these Terms.
9. Prohibited Use
You must not:
- use the platform for unlawful purposes;
- scrape, crawl, spider, harvest, bulk extract or copy the platform outside permitted export functionality;
- resell, redistribute, sublicense, publish or commercialise Synthro Search data without our written permission;
- build or train a competing product, model, database or service using our platform, data or outputs;
- reverse engineer, decompile, disassemble or attempt to derive source code from the platform;
- bypass usage limits, credits, access controls, security measures or technical restrictions;
- share account access with unauthorised users;
- use bots, scripts, automated systems or excessive requests without permission;
- use the platform to send spam, unsolicited communications or unlawful marketing;
- use data from the platform for harassment, discrimination, surveillance, fraud or harmful profiling;
- upload malicious code, viruses, malware or harmful content;
- interfere with the platform’s performance, integrity, security or availability;
- misrepresent data from Synthro Search as guaranteed, verified or endorsed by the relevant company unless this is expressly stated;
- remove attribution, notices, disclaimers or restrictions from exported data;
- use the platform in a way that breaches the terms of any third-party data provider.
10. Subscriptions
Synthro Search may offer monthly subscription plans. Each subscription plan may include:
- access to selected platform features;
- a monthly credit allowance;
- usage limits;
- export limits;
- access to certain data types;
- access to AI tools;
- account or user limits;
- support levels;
- other plan-specific features. Plan details, prices and included credits will be shown at the point of purchase or in your account. We may update plan features, prices, limits or availability from time to time. Where required, we will give reasonable notice of material changes affecting existing paid customers.
11. Credits and Usage Limits
Certain actions on the platform may require credits. These may include, for example:
- running searches;
- viewing company profiles;
- accessing contact details;
- running AI analysis;
- exporting data;
- using enhanced search filters;
- accessing premium data points;
- using API calls. The specific number of credits required for each action may vary and may be updated from time to time. Monthly subscription credits refresh each billing month. Unless stated otherwise, unused monthly subscription credits do not roll over and will expire at the end of the relevant monthly billing period. Credits have no cash value, are not legal tender, are not refundable except where required by law, and cannot be transferred unless we expressly allow this.
12. Top-Up Credits
Customers may be able to purchase additional top-up credits. Unless stated otherwise at the point of purchase:
- top-up credits are separate from monthly subscription credits;
- top-up credits are valid for three months from the date of purchase;
- unused top-up credits expire after three months;
- top-up credits are used in accordance with our platform rules;
- top-up credits are non-refundable once purchased, except where required by law. We may introduce specific plans or promotions where purchased credits have a longer validity period or do not expire. If such a plan is offered, the relevant credit expiry rules will be stated in the applicable plan terms or order details.
13. Free Trials and Promotions
We may offer free trials, promotional access, discounted plans or free credits. Free trials and promotions may be subject to additional terms, including:
- limited duration;
- limited credits;
- limited features;
- restrictions on exports;
- restrictions on contact data;
- automatic conversion to a paid subscription;
- eligibility limits. We may withdraw, amend or refuse a free trial or promotion at any time where we reasonably believe it is being abused, duplicated, misused or used in breach of these Terms.
14. Payments
You agree to pay all fees associated with your selected subscription, top-up credits or other paid services. Fees are payable in advance unless otherwise agreed in writing. You are responsible for all applicable taxes, VAT, duties, bank charges, payment processing fees or currency conversion charges unless otherwise stated. If payment fails, we may suspend or restrict access to the platform until payment is made. We may use third-party payment processors to process payments. Your use of such payment services may also be subject to the payment provider’s own terms.
15. Renewals and Cancellation
Monthly subscriptions renew automatically unless cancelled before the next billing date. You may cancel your subscription in accordance with the cancellation process shown in your account or notified to you. Cancellation will usually take effect at the end of your current billing period. Unless otherwise stated, you will retain access until the end of the paid period. If you cancel, unused monthly subscription credits will expire at the end of the billing period. Top-up credits may expire in accordance with the top-up credit rules. We may suspend or terminate a subscription if you breach these Terms, fail to pay fees, misuse the platform or use the service in a way that creates legal, security, technical or commercial risk for us or our partners.
16. Refunds
Unless otherwise stated or required by law, subscription fees and credit purchases are non-refundable. We may consider refunds at our discretion in exceptional cases, for example where there has been a clear billing error or technical issue preventing access to the service. We do not provide refunds for:
- unused monthly credits;
- unused top-up credits after expiry;
- failure to cancel before renewal;
- lack of use of the platform;
- dissatisfaction where the platform was made available as described;
- data being unavailable, incomplete, outdated or inaccurate;
- customer failure to verify information before relying on it. Nothing in these Terms limits any rights you may have under applicable law.
17. Company Data
Synthro Search may provide access to Company Data from a range of sources, which may include:
- public records;
- company websites;
- official filings;
- publicly available sources;
- third-party data providers;
- customer-provided information;
- manually researched information;
- AI-enriched or automated analysis;
- other lawful sources. Company Data may include information such as company name, registration details, location, sector, website, business description, directors, leadership, employee count estimates, ownership information, financial indicators, funding information, contact details, activity signals, technology indicators and other business intelligence. The availability of Company Data may vary by company, country, source, provider, plan, credit usage and time.
18. Contact Data
Where available, Synthro Search may provide Contact Data relating to business contacts. Contact Data may include names, job titles, company affiliations, work email addresses, business telephone numbers, LinkedIn or professional profile references, seniority, department or other business-related information. You acknowledge that Contact Data may be incomplete, outdated, incorrect or unavailable. You are responsible for ensuring that your use of Contact Data complies with applicable privacy, data protection, direct marketing and electronic communications laws. You must not use Contact Data for unlawful marketing, spam, harassment, discrimination, automated nuisance communications or any other prohibited purpose.
19. Data Sources and Third-Party Providers
Some information on Synthro Search may come from third-party data providers, public sources, official registers, company websites, APIs, datasets or other external sources. We do not control all third-party sources and we are not responsible for errors, omissions, delays, inaccuracies, outages, restrictions or changes in those sources. Some third-party data may be subject to licence terms, attribution requirements, usage restrictions, caching restrictions, export restrictions or resale restrictions. You agree not to use platform data in a way that would cause us or you to breach those restrictions. We may add, remove, change, replace or restrict access to data sources at any time.
20. Public Register Information
Some company information may be derived from public company registers or official sources. Public register information may be made available by public bodies under their own legal frameworks, licences, access rules and disclaimers. Public company information may be copied and reused in certain circumstances, but once held by third parties, those third parties are responsible for complying with data protection law and any applicable terms. You are responsible for ensuring your own use of public register information complies with applicable law and any relevant licence terms.
21. Data Accuracy Disclaimer
Synthro Search aims to provide useful and relevant business information, but we do not guarantee that any Company Data, Contact Data, AI-Enriched Content, search result, export, profile, report or analysis is accurate, complete, current or suitable for your specific purpose. You acknowledge that:
- information may be gathered from public or third-party sources;
- source information may itself be incorrect, outdated or incomplete;
- company websites, public filings and third-party sources may contain errors;
- businesses may change names, ownership, directors, employees, websites, sectors or contact details;
- employee counts, revenue estimates, industry classifications and similar data may be estimates;
- contact information may change over time;
- AI-generated summaries may contain errors or omissions;
- data may not reflect the latest available information. You must independently verify important information before relying on it. Synthro Search is a research aid and not a substitute for professional judgement, due diligence, legal advice, financial advice, investment advice, tax advice or regulatory advice.
22. AI-Generated and AI-Enriched Content
Synthro Search may use artificial intelligence, machine learning, natural language processing or automated systems to generate or enrich content. AI-Enriched Content may include summaries, tags, classifications, recommendations, company descriptions, market signals, scoring, categorisation, similarity analysis, ranking, report sections or suggested insights. AI-Enriched Content is provided for informational and research purposes only. You acknowledge that AI-Enriched Content:
- may be inaccurate, incomplete or misleading;
- may be based on incomplete or outdated data;
- may reflect assumptions, patterns or automated interpretation;
- may not identify all relevant risks, opportunities or facts;
- should not be treated as a guarantee, recommendation or professional advice. You are responsible for reviewing, verifying and validating AI-Enriched Content before using it for any commercial, investment, legal, financial or strategic decision.
23. Exports and Downloads
Your subscription plan may allow you to export or download certain data. Exports may be subject to:
- plan limits;
- credit usage;
- fair usage rules;
- technical limits;
- data source restrictions;
- format restrictions;
- export volume limits;
- compliance requirements. You may use exported data for your internal business purposes, subject to these Terms. Unless we give written permission, you must not:
- resell exported data;
- publish exported data as a standalone database;
- upload exported data into a competing product;
- use exported data to create a substantially similar service;
- bulk distribute exported data to third parties;
- remove any required attribution or notices;
- use exported data after your right to use it has ended where continued use would breach these Terms or applicable law.
24. Customer Data
You may be able to upload, input, save, tag, annotate or process your own data within Synthro Search. You retain ownership of your Customer Data. You grant us a limited licence to host, process, transmit, display, analyse and use Customer Data as necessary to provide, maintain, secure and improve the platform. You confirm that you have all rights, permissions and lawful bases required to upload or process Customer Data through the platform. You must not upload data that is unlawful, confidential without permission, infringing, malicious, discriminatory, harmful, excessive or unrelated to legitimate business use.
25. Data Protection and Privacy
Our handling of personal data is described in our Privacy Policy. You and Synthro Search will each comply with applicable data protection laws in relation to personal data processed under these Terms. Depending on how the platform is used, Synthro Search may act as an independent controller, processor or service provider in relation to certain personal data. Where a data processing agreement is required, the parties will enter into an appropriate Data Processing Agreement. Where you use personal data obtained from Synthro Search, you are responsible for determining your own lawful basis, transparency obligations, retention rules, suppression lists, opt-out handling, marketing compliance and other legal obligations.
26. Direct Marketing and Outreach
Synthro Search may help you identify companies and business contacts, but we do not send outreach on your behalf unless expressly agreed in a separate written agreement. If you use information from Synthro Search for emails, calls, LinkedIn messages, postal campaigns, marketing, sales outreach, deal origination, investor outreach or other communications, you are responsible for ensuring that your activity complies with applicable laws and regulations. This may include data protection law, privacy law, direct marketing rules, electronic communications rules, anti-spam rules and any sector-specific requirements. You are responsible for:
- determining whether you have a lawful basis to contact a person or organisation;
- providing any required notices;
- respecting objections and opt-outs;
- maintaining suppression lists where required;
- ensuring communications are accurate and not misleading;
- ensuring your communications do not create legal or reputational risk for Synthro Search. We are not responsible for your outreach activity or any claims, complaints, fines, losses or disputes arising from it.
27. Intellectual Property
All intellectual property rights in the platform belong to Synthro Search or our licensors. This includes rights in:
- software;
- source code;
- databases;
- data structures;
- platform design;
- user interface;
- search logic;
- scoring methods;
- AI prompts and workflows;
- reports;
- templates;
- branding;
- trademarks;
- logos;
- documentation;
- algorithms;
- compiled or enriched datasets;
- know-how and business processes. Except for the limited rights expressly granted in these Terms, you do not acquire any ownership rights in Synthro Search or its intellectual property.
28. Licence to Use the Platform
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the platform for your internal business purposes. This licence does not allow you to:
- copy the platform;
- modify the platform;
- create derivative works from the platform;
- reverse engineer the platform;
- resell access to the platform;
- provide bureau services using the platform;
- use the platform to create a competing service;
- use the platform outside the scope of your subscription plan.
29. Feedback
If you provide suggestions, ideas, improvements, feature requests, comments or feedback, you grant us the right to use that feedback without restriction or compensation. We may use feedback to improve, develop, market or modify Synthro Search.
30. Confidentiality
Each party may receive confidential information from the other. Confidential information includes non-public business, technical, financial, commercial, product, pricing, customer, security or strategic information. Each party agrees to:
- keep confidential information secure;
- not disclose it to unauthorised third parties;
- use it only for the purpose of performing or receiving services under these Terms;
- limit access to those who need to know it. Confidentiality obligations do not apply to information that is public, already known, independently developed, lawfully received from a third party or required to be disclosed by law.
31. Security
We will use reasonable technical and organisational measures designed to protect the platform and data we process. However, no system is completely secure, and we do not guarantee that the platform will be free from unauthorised access, cyberattacks, bugs, vulnerabilities or interruptions. You are responsible for maintaining appropriate security on your own systems, devices, accounts and user access. You must promptly notify us if you become aware of any unauthorised access, security incident, misuse of credentials or suspected breach involving your account.
32. Service Availability
We aim to keep Synthro Search available and functioning, but we do not guarantee uninterrupted or error-free access. The platform may be unavailable due to:
- maintenance;
- updates;
- technical issues;
- third-party provider outages;
- data source outages;
- security incidents;
- hosting failures;
- API restrictions;
- force majeure events;
- changes to third-party data access. We are not liable for temporary unavailability, delays, data source outages or loss of access where these are outside our reasonable control.
33. Changes to the Platform
We may update, change, improve, remove, replace or discontinue features, data sources, credit rules, plan limits, exports, AI tools, integrations or other parts of the platform. We may do this to improve performance, security, compliance, commercial viability, user experience or legal risk management. Where a change materially reduces the core functionality of a paid subscription, we will aim to provide reasonable notice where practical.
34. Beta Features
We may release beta, experimental, preview or early-access features. Beta features may be unstable, incomplete, inaccurate, changed, withdrawn or discontinued at any time. You use beta features at your own risk. We do not guarantee support, availability, accuracy or continued access for beta features.
35. Suspension and Termination
We may suspend or terminate your account, access or subscription if:
- you breach these Terms;
- you fail to pay fees;
- your use creates legal, regulatory, security, technical or reputational risk;
- you misuse data;
- you exceed usage limits or attempt to bypass restrictions;
- you use the platform for prohibited purposes;
- required third-party data access is withdrawn;
- we are required to do so by law or a third-party provider. You may stop using the platform at any time and may cancel your subscription in accordance with these Terms. On termination, your right to access the platform will end. We may delete or restrict access to account data in accordance with our retention policies and applicable law.
36. No Professional Advice
Synthro Search provides business information and research tools only. Nothing on the platform constitutes:
- legal advice;
- financial advice;
- investment advice;
- tax advice;
- accounting advice;
- regulatory advice;
- due diligence advice;
- recommendation to buy, sell, invest, acquire or contact any company. You should seek professional advice before making important decisions.
37. No Guarantee of Results
We do not guarantee that using Synthro Search will result in:
- successful deal origination;
- investment returns;
- acquisitions;
- sales;
- leads;
- meetings;
- accurate target identification;
- successful outreach;
- revenue growth;
- business opportunities;
- any specific commercial outcome. You are responsible for your own business decisions and results.
38. Limitation of Liability
To the maximum extent permitted by law, Synthro Search will not be liable for:
- loss of profits;
- loss of revenue;
- loss of business;
- loss of opportunity;
- loss of goodwill;
- loss of anticipated savings;
- loss or corruption of data;
- indirect, special or consequential loss;
- losses caused by inaccurate, outdated or incomplete data;
- losses caused by reliance on AI-Enriched Content;
- losses caused by third-party data sources;
- losses caused by customer outreach or marketing activity;
- losses caused by unauthorised account use where you failed to protect credentials. Our total liability arising out of or in connection with these Terms, the platform or any subscription shall not exceed the total fees paid by you to Synthro Search in the three months before the event giving rise to the claim. Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
39. Indemnity
You agree to indemnify and hold harmless Synthro Search, its directors, employees, contractors, suppliers and partners from and against any claims, losses, damages, liabilities, costs and expenses arising from:
- your breach of these Terms;
- your misuse of the platform;
- your unlawful use of Company Data or Contact Data;
- your outreach, marketing or communications;
- your breach of data protection, privacy or electronic communications laws;
- your upload or processing of Customer Data;
- your infringement of third-party rights;
- your use of exports or AI-Enriched Content;
- unauthorised use of your account caused by your failure to protect access credentials.
40. Third-Party Services and Links
The platform may include links to, integrations with, or data from third-party websites, platforms, APIs, datasets, tools or services. We are not responsible for third-party websites, services, data, content, availability, security, terms or privacy practices. Your use of third-party services may be subject to separate terms and conditions.
41. API Access
If we provide API access, you must use it only in accordance with these Terms and any API documentation, rate limits, authentication requirements and usage restrictions we provide. You must not:
- share API keys publicly;
- use API access to scrape or replicate the database;
- exceed rate limits;
- bypass access controls;
- use API access for a competing product;
- use API access in a way that breaches third-party data provider restrictions. We may suspend, rotate, revoke or restrict API keys at any time where required for security, compliance, technical or commercial reasons.
42. Fair Usage
We may apply fair usage limits to protect the platform, data suppliers, infrastructure and other users. Fair usage rules may apply to searches, exports, AI requests, API calls, contact reveals, company profile views, storage, user seats, refreshes and other features. If we reasonably believe your usage is excessive, abusive, automated, harmful or outside the intended purpose of your plan, we may contact you, restrict usage, require an upgraded plan, suspend access or terminate the account.
43. Taxes
Fees are exclusive of VAT and other taxes unless stated otherwise. You are responsible for paying any applicable taxes, duties, levies or charges arising from your purchase or use of Synthro Search. Where required, VAT or other taxes may be added to invoices or payment amounts.
44. Assignment
You may not transfer, assign or sublicense your rights or obligations under these Terms without our written consent. We may assign or transfer our rights and obligations under these Terms as part of a merger, acquisition, restructuring, sale of assets, investment, group reorganisation or transfer of business.
45. Force Majeure
We will not be liable for any delay or failure to perform caused by events outside our reasonable control. This may include internet failures, hosting outages, cyber incidents, labour disputes, natural disasters, war, terrorism, government action, legal changes, supplier failures, third-party API failures or data source restrictions.
46. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify customers, such as by email, account notice or website notice. Your continued use of Synthro Search after changes take effect means you accept the updated Terms. If you do not agree to updated Terms, you must stop using the platform and cancel your subscription.
47. Severability
If any part of these Terms is found to be invalid, unlawful or unenforceable, the remaining parts will continue in effect. The invalid part will be treated as modified to the minimum extent necessary to make it valid, lawful and enforceable.
48. Entire Agreement
These Terms, together with any order form, subscription details, Privacy Policy, Data Processing Agreement and other documents expressly referenced, form the entire agreement between you and Synthro Search regarding use of the platform. They replace any prior discussions, proposals, emails, statements or agreements relating to the same subject matter.
49. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, the platform or your use of Synthro Search.
